POWER OF ATTORNEY

to reasonably and in good faith act in the name and on behalf of the Company and to perform and conduct the following legal and factual actions:

(1) to conclude and sign with the purchaser - Mr.  (the “Purchaser”) and then fully fulfill a sale and purchase agreement with respect to the apartment ____________ (the “Apartment”) which belongs to the Company on the right of ownership and located at the ____________, at a price and on terms and conditions to be negotiated and determined at their own judgment and discretion;

2) to represent the Company before all Russian authorities for the purposes of state registration of a transfer of right of ownership in the Apartment to the Purchaser (including the right to submit any applications for registration of a transfer of right of ownership in the Apartment to the Purchaser with competent registration authorities,  pay all state fees and effect other payments, transfer of possession of the Apartment to the Purchaser under any transfer certificates, submit any documents as to the said Apartment with registration authorities (applications, claims and complaints, certificates, other documents, instruments and papers) with the right to submit additional documents and rectify all errors made in any documents, file, require and receive any documents, certificates, plans, drawings, layouts, extracts or whatsoever with and from the authorities in charge of cadastral registration and state registration of rights to immovable property and  deals with them in a manner and procedure which are deemed obligatory or appropriate from time to time for the proper registration of the transfer of the ownership to the Apartment to the Purchaser;

(3) to perform any other legal and factual actions and also comply with all required or reasonable formalities in connection with this authorization.

This power of attorney is issued on the above written date for a term of 1 (One) year. Powers granted under this power of attorney can be referred to any third persons.
